Terms of Service

These Terms of Service (“Terms”) govern access to and use of ETL Console (“Service”, “Platform”, “we”, “us”, “our”) by individuals, businesses, and organizations (“Customer”, “User”, “you”).
By creating an account, accessing the Platform, using the Service, or subscribing to a paid plan, you agree to these Terms.
1. The Service
ETL Console is a software platform for configuring data connections, reading source metadata, defining mappings, running ETL processes, staging data, and writing results to customer-configured target systems.
The Platform may be provided as:
Hosted SaaS; or\ On-premise deployment for Enterprise customers.
On-premise deployments may be subject to a separate written agreement. If a separate written agreement applies, that agreement prevails over these Terms where there is a conflict.
2. Eligibility and Authority
You must be at least 18 years old and have legal capacity to enter into these Terms.
If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
The organization is responsible for all activity performed through its accounts, users, credentials, connections, jobs, and workspaces.
3. Customer Responsibility for Data and Access Rights
You are solely responsible for:
the legality of data sources connected to the Platform;\ having all required rights, permissions, and authorizations to access and process such data;\ the accuracy, completeness, quality, and lawfulness of source data;\ the correctness of mappings, filters, transformations, SQL queries, and job configurations;\ reviewing and validating all outputs before using them for business, operational, financial, legal, or compliance purposes.
We do not verify, certify, audit, or guarantee the legality, accuracy, quality, completeness, or business suitability of any customer source data or Platform output.
You must not connect data sources or process data through the Service unless you have the legal right and proper authority to do so.
4. Source Systems and Target Systems
The Platform is designed to read data from customer-configured source systems. By default, the Platform does not modify customer source systems.
The Platform may write data only to customer-configured staging, target, or destination systems, tables, schemas, or databases, based on the settings and jobs configured by you.
You acknowledge that:
source systems remain under your control;\ target and staging destinations are selected and configured by you;\ job results depend on your source data, configuration, mappings, and selected destinations;\ errors in source data, access rights, schema design, mapping logic, or transformation logic may affect results.
We are not responsible for loss, corruption, inconsistency, or business consequences caused by customer source data, customer configuration, customer-provided credentials, target database behavior, third-party systems, or external infrastructure.
5. Account Security and Credentials
You are responsible for maintaining the confidentiality of your account credentials and for all actions performed through your account.
Connection credentials provided to the Platform are used to perform operations requested or configured by you. The Platform may store connection settings and encrypted secrets as required to operate the Service.
You must promptly notify us of any unauthorized access, credential compromise, or suspected security incident involving your account.
6. Acceptable Use
You must not use the Service to:
access systems or data without authorization;\ violate applicable laws or third-party rights;\ process data unlawfully;\ attack, disrupt, overload, scan, reverse engineer, or bypass the Platform;\ share accounts or credentials with unauthorized persons;\ use the Platform for malware, credential theft, unauthorized surveillance, or unlawful profiling;\ interfere with other users or the security, stability, or availability of the Service.
We may suspend or terminate access if we reasonably believe that your use creates legal, security, operational, abuse, or compliance risk.
7. Plans, Features, and Limits
The Service may be offered under free and paid plans. Each plan may include different limits, features, connection types, job limits, queue priority, support levels, or usage restrictions.
We may modify plans, limits, pricing, and features from time to time.
For paid subscriptions, material changes to price or core plan features will apply from the next billing period, unless earlier changes are required for legal, security, operational, abuse-prevention, or technical reasons.
Free plans may be changed, limited, suspended, or discontinued at any time.
8. Subscriptions, Payments, and Refunds
Paid subscriptions are billed for the selected billing period. Payments may be processed by third-party payment providers.
Subscription activation may depend on successful payment confirmation from the relevant payment provider.
Paid subscriptions are non-refundable except where required by applicable law or expressly stated by us in writing.
You are responsible for evaluating whether the Service meets your needs before purchasing a paid plan. Free plans, demos, documentation, trials, and product information, where available, are provided to help you evaluate the Service before subscribing.
Cancellation stops future renewals but does not automatically entitle you to a refund for the current paid period.
Failure to pay applicable fees may result in suspension, downgrade, or termination of access.
9. Customer Content, Metadata, and Platform Data
You retain ownership of your data, configurations, mappings, and other content submitted or configured through the Service.
We retain all rights to the Platform, including software, user interface, workflows, templates, connectors, documentation, algorithms, designs, know-how, and related intellectual property.
Unless expressly stated otherwise, the Platform is not intended to permanently store customer source records. However, we may store operational data required to provide the Service, including:
account information;\ subscription and plan information;\ connection settings;\ encrypted credentials;\ table names, column names, data types, schemas, and metadata;\ mappings and transformation settings;\ job statuses, logs, errors, and audit records;\ technical and security logs.

10. Platform Output and No Business Advice
The Service provides technical tools for data processing and automation. The Platform does not provide legal, financial, accounting, audit, tax, compliance, operational, or business advice.
Any outputs, transformed datasets, logs, tables, calculations, process views, reports, or analytical results generated through the Platform depend on customer-provided data, configuration, mappings, transformations, and settings.
You are solely responsible for independently reviewing and validating all outputs before relying on them.
We do not guarantee that any output will be accurate, complete, compliant, suitable for audit, suitable for financial reporting, or suitable for any particular business purpose.
11. AI Features
The Service does not currently include AI features unless expressly identified in the Platform.
We may introduce AI-assisted features in the future. If such features are introduced, we may provide additional notices, terms, limitations, or settings applicable to those features.
12. Third-Party Services
The Service may depend on third-party services, including hosting providers, payment providers, infrastructure providers, email providers, database services, analytics tools, or other vendors.
We are not responsible for failures, downtime, errors, delays, security incidents, policy changes, or service limitations of third-party services.
Your use of third-party services may be subject to separate terms and policies of those providers.

13. Service Availability and Changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, secure, or continuous availability.
The Service may be unavailable due to maintenance, updates, infrastructure issues, third-party failures, security incidents, technical errors, or events outside our reasonable control.
We may modify, improve, suspend, or discontinue parts of the Service where reasonably necessary.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”.
We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, compatibility, and error-free operation.
We do not warrant that:
the Service will meet your specific requirements;\ the Service will be uninterrupted, secure, or error-free;\ any source data, metadata, mapping, transformation, or output will be accurate or complete;\ any result will be suitable for business, legal, audit, financial, operational, or compliance purposes;\ any error or defect will be corrected within a specific time.
15. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including:
loss of profit;\ loss of revenue;\ loss of business opportunity;\ loss of goodwill;\ loss of data;\ business interruption;\ cost of substitute services;\ incorrect business decisions;\ third-party claims;\ errors caused by source data, customer configuration, mappings, credentials, target systems, or third-party services.
For paid plans, our total aggregate liability for all claims arising out of or relating to the Service shall not exceed an amount equal to one (1) month of the subscription fees actually paid by you for the applicable plan, calculated on a monthly equivalent basis, regardless of whether the subscription is billed monthly or annually.
For free plans, the Service is provided without charge, and to the maximum extent permitted by law, we shall have no liability to you.
The limitations above apply regardless of the legal theory of liability, whether based on contract, tort, negligence, strict liability, statutory duty, or otherwise.
16. Indemnification
You agree to defend, indemnify, and hold us harmless from and against any claims, damages, losses, liabilities, costs, and expenses arising from:
your use of the Service;\ your data sources, data, credentials, mappings, configurations, transformations, or outputs;\ your violation of these Terms;\ your violation of applicable law or third-party rights;\ your lack of authorization to access or process any data;\ claims by your organization, users, customers, employees, contractors, regulators, or third parties relating to data processed through the Service.
17. Suspension and Termination
You may stop using the Service at any time.
We may suspend or terminate your access if:
you violate these Terms;\ payment is overdue;\ your use creates legal, security, operational, or compliance risk;\ we reasonably suspect unauthorized, abusive, fraudulent, or harmful activity;\ we are required to do so by law or by a third-party service provider.
Upon termination, your right to access the Service ends. Certain sections of these Terms will continue to apply, including provisions relating to ownership, disclaimers, limitation of liability, indemnification, payment obligations, dispute resolution, and governing law.
18. Changes to These Terms
We may update these Terms from time to time.
If changes are material, we will make reasonable efforts to notify users through the Platform, email, or other reasonable means.
Continued use of the Service after updated Terms become effective means you accept the updated Terms.
19. Governing Law and Disputes
These Terms are governed by the laws of Serbia, without regard to conflict of law principles.
Before starting formal proceedings, the parties agree to first try to resolve any dispute informally by contacting each other and allowing a reasonable period for resolution.
If the dispute cannot be resolved informally, it shall be submitted to the competent courts of Serbia, unless applicable mandatory law provides otherwise.
